- Counsel to such well-known consumer products and retail companies as AnnTaylor Stores, Bausch & Lomb, Fresh Del Monte, J. Crew, McDonald’s and Sony on executive compensation and corporate governance matters. Also counsel to several CEOs and other senior executives of consumer products and retail companies with respect to contract negotiations and tax matters, including executives of Barilla, Express, Harrods, Home Shopping Network, Prada and Tommy Hilfiger.
- Counsel to Goldman Sachs as financial advisor to The Coca-Cola Company in its $12.3 billion acquisition of the North American bottling operations of Coca-Cola Enterprises and the sale to Coca-Cola Enterprises of The Coca-Cola Company’s Swedish and Norwegian bottlers, Coca-Cola Drycker Sverige AB and Coca-Cola Drikker AS.
- Counsel to Stanley Black & Decker in its $1.2 billion offer for Niscayah, a leading commercial security and monitoring company specializing in electronic security services and solutions.
- Counsel to Istithmar World Capital in the successful Chapter 11 proceedings of its portfolio company, Loehmann’s Holdings and its debtor affiliates, in which Istithmar and a senior secured noteholder made a new money investment to fund the restructuring and received a substantial ownership stake in the reorganized company.
- Counsel to Goldman Sachs as financial advisor to the Special Committee of the Board of Directors of DSW Inc. in its acquisition of its controlling stockholder, Retail Ventures, Inc.
- Counsel to Grupo Bimbo and its U.S. subsidiary, BBU, in its acquisition of Sara Lee’s North American Fresh Bakery business.
- Counsel to FEMSA in $7.35 billion strategic exchange of its beer operations for shares of Heineken Holding N.V. and Heineken N.V., which together constitute a stake of up to 20% in Heineken.
- Counsel to Vale in $4.7 billion acquisition of Bunge’s fertilizer nutrients assets in Brazil, including Bunge’s interest in Fosfertil.
- Counsel to a Mittal Family Trust in the acquisition of the main business of ESCADA AG, the German fashion company, in connection with that company’s insolvency proceedings.
- U.S. and English counsel to YOOX in its €105 million IPO, the only Italian IPO in 2009.
- Counsel to Sony and SONY BMG in a landmark case before the European Court of Justice setting aside a judgment of the Court of First Instance that had annulled a 2004 decision of the European Commission approving the formation of the SONY BMG recorded music joint venture.
- Counsel to The Home Depot in its acquisitions of Hughes Supply, National Water Works, White Cap Construction Supply and Redbeacon.
- Counsel to Henkel KGaA in many transactions, including its $2.9 billion “cash-rich split-off” transaction with Clorox, its $2.9 billion acquisition of The Dial Corporation, and its purchase of several deodorant brands from Gillette.
- Counsel to Lotte Shopping in its $3.7 billion IPO of common stock and GDSs.
- Antitrust counsel to Maytag in $2.7 billion merger with Whirlpool, the world’s leading manufacturer and marketer of major home appliances.
