Carla R. Passos is a senior attorney based in the New York office.
Ms. Passos’ practice focuses on international capital markets and on the representation of Latin American companies, particularly Brazilian companies. She also has experience in cross-border mergers and acquisitions.
Ms. Passos was the senior attorney advising Petróleo Brasileiro S.A. - Petrobras in its $70 billion global equity offering, widely reported to be the largest equity offering ever. She also represented Petrobras and its financing subsidiary, Petrobras International Finance Company (PifCo), in several public debt offerings, including a $6 billion SEC-registered notes offering by PifCo, the largest-ever bond offering for a Brazilian company in the international capital markets. Ms. Passos acted as counsel to the Brazilian private equity group Artesia on the IPOs of its portfolio companies, including the IPOs of Abyara Planejamento Imobiliário S.A., Metalfrio Solutions S.A. and Le Lis Blanc Deux Comércio e Confecção de Roupas S.A. Ms. Passos advised the underwriters in numerous equity and debt offerings in the Brazilian and international capital markets, including the IPOs of Visanet, Banco Cruzeiro do Sul S.A. and PDG Realty S.A. Empreendimentos e Participações and debt offerings by Grupo Virgolino de Oliveira, Banco Bradesco S.A. and Globo Comunicação e Participações S.A. Ms. Passos also advises BNDES, the Brazilian Development Bank, in general corporate and financing matters.
Ms. Passos joined the firm in 2005 and became a senior attorney in 2010. She received a LL.M. degree from the University of Chicago Law School and a LL.B. degree from the University of São Paulo Law School.
Ms. Passos is a member of the Bars in New York and Brazil (São Paulo section). Her native language is Portuguese and she is fluent in Spanish and English.
