David I. Gottlieb is a partner based in the Moscow office. He recently relocated from New York.

Mr. Gottlieb’s practice focuses on public and private mergers and acquisitions with particular emphasis on cross-border transactions. He also handles securities transactions and has extensive experience in the firm’s M&A and capital markets practices in Russia. A few of the recent representative transactions on which Mr. Gottlieb has advised include acting as counsel to the The International Union, United Automobile, Aerospace and Agricultural Implement Workers of America (UAW) in its negotiations with Chrysler LLC and General Motors Corporation leading up to their bankruptcies. Mr. Gottlieb also represented the UAW in connection with the novel agreements entered into in 2008 with General Motors, Ford Motor Co. and Chrysler to establish the Voluntary Employee Beneficiary Association trusts to provide health care benefits for union retirees. In addition to these matters, Mr. Gottlieb recently represented Constellation Energy Group in its joint venture with, and proposed investment by, Electricité de France S.A., Istithmar PJSC in its acquisition of Barney’s New York, Inc., TPG in its acquisition of Sabre Holdings Corporation and TPG, Temesek Holdings and various individual shareholders in the disposition of Matrix Laboratories Limited, an Indian pharmaceuticals company, to Mylan Inc. Mr. Gottlieb also regularly advises Credit Suisse Group AG, Credit Suisse and its affiliates on capital raising, corporate governance, disclosure and related matters. In relation to Russia, Mr. Gottlieb advised Franklin Mutual Advisers, LLC, the majority shareholder of Esmark Incorporated, in the $775 million acquisition of Esmark by OAO Severstal, Deutsche Bank AG in its 40% acquisition of Russian investment bank United Financial Group and has counseled clients in various other capital markets, M&A and joint venture matters for more than a decade.

Mr. Gottlieb joined the firm in 1995 and became a partner in 2003. From 1995-1997 and from 2000-2009, he was resident in the New York office and from 1997-2000, he was resident in the London office. Mr. Gottlieb received a J.D. degree, cum laude, in 1994 from Harvard Law School, where he was an editor of the Harvard Law Review, and an undergraduate degree, summa cum laude, from Yale University. From 1994 to 1995, he served as law clerk to the Honorable Jon O. Newman, then Chief Judge of the U.S. Court of Appeals for the Second Circuit.

Mr. Gottlieb is a member of the Bar in New York. His native language is English, and he is proficient in Russian and French.
