Stefano De Dominicis is a senior attorney resident in the Milan office.

Mr. De Dominicis’ practice is primarily devoted to the corporate area, having a solid experience in acquisitions and divestitures (cross-border and domestic, public and private), joint ventures, mergers, de-mergers, corporate governance matters and by-laws. He also has experience in cross border transactions and corporate litigation, as well as in business agreements.

Recently, Mr. De Dominicis assisted Mediobanca in the purchase of an equity interest in Ferretti, A2A in the demerger of Endesa Italia, Petronas in its €1.1 billion acquisition of FL Selenia, and the controlling shareholders in the sale of a minority interest in Technogym. He represented AEM in its joint acquisition, together with Electricité de France, of a controlling stake in Edison, in the dismissal of AEM Trasmissione and in its €9 billion merger with ASM Brescia creating Italy’s largest local utility and second-largest electricity company. He also advised ABN AMRO in its €8.2 billion tender offer for all outstanding shares of leading Italian-listed banking group Banca Antonveneta, Edison in some of its divestitures aimed at reducing its financial indebtedness (such as the dismissals of Edisontel and Edison Rete), the funds managed by the private equity firm PAI Partners in the acquisition of the Italian listed company Saeco International Group, Finmeccanica in the acquisition of Aeronautica Macchi and Prudential International Investments Corporation in its joint ventures agreements with Banche Popolari Unite related to the asset management company BPU Pramerica SGR.

Mr. De Dominicis joined the firm in 2004 and became a senior attorney in 2010. He graduated, summa cum laude, from the Law School of Milan University in 1995. Before joining the firm, he worked as a trainee and then as an associate at the law firm of Professor Angelo Carlo Pelosi in Milan from 1995 and as an associate at Allen & Overy in Milan from 2002.

Mr. De Dominicis has been a member of the Milan Bar since 1999. He is a native Italian speaker and is fluent in English.
