Craig B. Brod is a partner based in the New York office.
Mr. Brod's practice focuses on general U.S. and international issuer representation, corporate governance, corporate finance and securities law. Mr. Brod represents corporate issuers, investment banks and investors and has extensive experience in initial public offerings for domestic and foreign issuers, public and private debt and equity financings for established companies, including high yield offerings, and financings in connection with corporate restructurings. Mr. Brod’s international securities practice has involved global and cross-border financings and exchange listings for issuers domiciled in a wide variety of jurisdictions, including financings for Canadian issuers both within and outside the context of the U.S.-Canadian Multijurisdictional Disclosure System. Mr. Brod’s issuer counseling experience also includes assessing the various considerations relevant to out-of-court restructuring and bankruptcy filing alternatives. Mr. Brod served as a member of the Securities Advisory Committee of the Ontario Securities Commission from 1995-1999.

Mr. Brod recently represented the underwriters in a series of transactions that enabled AIG to re-access the capital markets, including AIG's "re-IPO" in May 2011 and the largest secondary equity offering in U.S. history in September 2012. The firm's role in the re-IPO was distinguished as a standout for finance by the
Financial Times' U.S. Innovative Lawyers Report in 2011.
Mr. Brod joined the firm in 1980 and became a partner in 1989. He received a J.D. degree in 1980 from the Yale Law School, where he was an editor of the
Yale Law Journal. Mr. Brod received an undergraduate degree,
summa cum laude, from Columbia College in 1977.
Mr. Brod is a member of the Bars in New York and New Jersey and is admitted to practice before the U.S. District Court for the Southern District of New York and the District of New Jersey.
