Manuel Metzner is counsel in the Frankfurt office.
Mr. Metzner’s practice focuses primarily on capital markets and financing transactions as well as on corporate matters and M&A transactions with an emphasis on listed companies.
Mr. Metzner regularly advises on a broad range of capital markets transactions including IPOs, rights issues, secondary placements, convertible/exchangeable bond issues, debt programs and debt buybacks. In recent years, he acted as counsel in capital markets transactions of centrotherm photovoltaics, Conergy, Deutsche Post, Deutsche Postbank, Klöckner, Q-Cells, SMA Solar Technology, Südzucker, TUI, Volkswagen, and others. His capital markets experience includes both advising issuers and underwriters.
Mr. Metzner also advises companies and banks in financing transactions including syndicated loan agreements, Schuldschein issues and other debt financings. During his sojourn in Cleary Gottlieb’s New York office, Mr. Metzner focused on the areas of M&A, private equity and acquisition financing.
Mr. Metzner joined Cleary Gottlieb in 2000 and became counsel in 2008. He was resident in the New York office from 2003 to 2004. He received an LL.M. degree,
summa cum laude, from Brigham Young University in 2000. He passed the second state examination in the State of Baden-Württemberg in 1999 and the first state examination at the University of Heidelberg in 1997.
Mr. Metzner is a member of the Bars in Frankfurt am Main and New York. His native language is German, and he is fluent in English.
