Jonathan V. Wallenberger is a senior attorney based in the Hong Kong office.
Mr. Wallenberger’s practice focuses on corporate and financial transactions, with particular emphasis on U.S. public and institutional offerings of equity and debt securities by non-U.S. issuers and on cross-border tender offers by non-U.S. issuers for their outstanding debt securities. He also has extensive experience advising non-U.S. issuers with New York Stock Exchange listings on their and their directors’ and officers’ continuing obligations under the U.S. federal securities laws, as well as experience in cross-border structured finance, lending and derivatives transactions.
Major transactions in recent years on which Mr. Wallenberger has advised issuers, underwriters or dealer-managers include UC RUSAL’s U.S.$2.2 billion Hong Kong Stock Exchange listing and concurrent Reg. S/Rule 144A offering of ordinary shares and depositary receipts; HSBC Holdings plc’s SEC-registered offering of U.S.$ 2.5 billion of senior debt securities; HSBC Bank plc’s Reg. S/Rule 144A offerings of over U.S.$7 billion of senior debt securities; U.S. and non-U.S. cash tender offers and debt for equity exchange offers by The Governor and Company of the Bank of Ireland for over €5 billion of subordinated debt securities; Tata Steel Limited’s U.S.$500 million London Stock Exchange listing and concurrent Reg. S offering of depositary receipts representing ordinary shares; STRABAG AG’s €1.3 billion Vienna Stock Exchange listing and concurrent Reg. S/Rule 144A offering of ordinary shares; Renewable Energy Corporation’s U.S.$1.3 billion Oslo Stock Exchange listing and concurrent Reg. S/144A offering of ordinary shares; and Vodafone Group plc’s SEC shelf-registered offerings of over U.S.$8 billion of senior debt securities.
Mr. Wallenberger joined the firm in 1996 and became a senior attorney in 2008. He was resident in the New York office from 1996 to 1998 and from 2002 to 2003, in the Frankfurt office from 1998 to 2002, and in the London office from 2003 to 2011, and he has been resident in the Hong Kong office since 2011. He received a J.D. degree,
magna cum laude, in 1996 from Boston University School of Law, where he was Executive Editor of the
International Law Journal, and an undergraduate degree,
cum laude, in 1991 from Harvard College.
Mr. Wallenberger is a member of the Bar in New York. His native language is English, and he is fluent in German and proficient in French. He also is an accomplished classical pianist.
