Cleary Gottlieb is representing Suzano S.A. (Suzano), the world’s largest pulp producer, in the acquisition of Kimberly-Clark’s (K-C) tissue products business in Brazil.
The definitive agreements were signed on October 24, 2022, and the closing of the transaction is subject to regulatory approvals and customary closing conditions.
At closing, Suzano will own all K-C’s assets related to the business of manufacturing, marketing, distributing, and/or selling of tissue products, including toilet paper, paper towels, napkins, and tissues, as well as other paper products in Brazil, including ownership of the brand “Neve.” As part of the deal, other global brands currently used by K-C will be licensed to Suzano.
