Roberto Bonsignore is a partner based in the Milan office.
Mr. Bonsignore’s practice focuses on mergers and acquisitions, restructuring and banking and finance.
He recently assisted A2A and Delmi in a transaction involving the sale and purchase of equity investments in Edison and Edipower; the senior bondholders in connection with the debt restructuring of Seat Pagine Gialle; Eni in the sale of its participations in the German gas pipeline TENP and the Swiss gas pipeline Transitgas to Fluxys G, and in the sale of its participation in the Austrian gas pipeline TAG to Cassa Depositi e Prestiti. He represented Bavaria Yachtbau in the acquisition of Cantiere Del Pardo in the context of an in-court insolvency reorganization procedure; TPG in its investment in Italian online gaming service provider Microgame; The Royal Bank of Scotland in various restructuring matters; Terex in the acquisition of the port equipment business of Fantuzzi Industries; Mediobanca in connection with the purchase of an equity interest in Ferretti, the Italian troubled yacht maker. He also assisted AEM in its €9 billion merger with ASM Brescia, creating A2A, Italy’s largest local utility and second-largest electricity company; subsequently, he advised A2A in several domestic and cross-border projects. He represented Prima Industrie in its acquisition of Finnish industrial manufacturer Finn-Power Oy from private equity fund EQT; Lafarge in the divestment of their cement and aggregates & concrete activities in Italy; TPG Capital in its bid for Alitalia. He represented AEM in its joint acquisition, together with Electricité de France (EdF), of a controlling stake in Edison, and the subsequent tender offer for all of Edison’s outstanding common stock and warrants; Enel in the third and fourth tranches of its privatization with values of approximately €8 and €4 billion, respectively.

Mr. Bonsignore joined the firm in 1996 and became a partner in 2005. He worked in the Brussels office until August 1998, when he moved to the Rome office. He was based in the New York office in 2000 and 2001. He received a law degree with honors from the University of Turin in 1993 and an LL.M. degree from Harvard Law School in 1995. Before joining the firm, he worked in Philadelphia at the Mattioni Law Offices from 1993 to 1994, and in Turin at the law office of Marco Weigmann from 1995 to 1996. He has also collaborated with Prof. Rodolfo Sacco of the University of Turin.
Mr. Bonsignore is a member of the Rome Bar since 1996 and of the New York Bar since 1997. He is a native Italian speaker and is fluent in English.
