Pietro M. Fioruzzi is a partner based in the Milan office.
Mr. Fioruzzi’s practice focuses on advising international and Italian corporate clients and investment banks on a wide range of corporate and financial matters, including capital markets transactions, corporate governance, securities regulatory issues, and public mergers and acquisitions.
Mr. Fioruzzi has participated in a number of capital market transactions involving Italian clients, including IPOs, privatizations, rights offering, and wide range of financing transactions by seasoned issuers in several industries. He recently worked at the combination between WIND TELECOM and VimpelCom, creating one of the world’s largest mobile telecommunications carrier, and related multi-billion financing transactions. He has been advising Fiat in a series of financing transactions and notes offerings and recently assisted Fiat Industrial in its debut bond offering. In addition, he acted in numerous initial public offerings by Italian issuers, including Yoox, Saras, Prysmian and MolMed. Mr. Fioruzzi focuses on matters of corporate governance, regularly advising public Italian companies as to board structure and practice and special committees, as well as on compensation and benefit matters, including executive compensation and related matters. He represents his clients before Italian courts with regard to capital markets matters.
He acts as an expert to the Council of the Bars and Law Societies of the European Union (CCBE)’s Financial Services Committee. He has written and lectured extensively on corporate and financial matters in Italy, Europe and North Africa. He’s co-editor of the European Series of
Director Notes, a series of publications on corporate governance by The Conference Board.

Mr. Fioruzzi joined the firm in 1997 and worked in the New York office until 1998, when he moved back to Italy to the firm’s then newly opened Rome office. He was resident in the Rome office from 1998 through 2001, when he helped open the Milan office, and became a partner in 2006. Mr. Fioruzzi graduated with honors from the State University of Milan law school in 1993 and received an LL.M. degree from Harvard Law School in 1997. He spent the 1996 academic year as a visiting scholar at the University of Munich. Prior to joining the firm, he worked at the law firm of Professor Pier Giusto Jaeger until spring 1995.
Mr. Fioruzzi is a member of the Bars in Milan and New York. He is a native Italian speaker and is fluent in English and German.
