Securities Litigation

Cleary Gottlieb has significant expertise in securities litigation. We handle not only traditional Rule 10b-5 and other securities actions, but also a host of unique cases. We represent securities firms, banks, shareholders, issuers of securities and other corporations, Securities Investor Protection Corporation trustees, and individuals. Our litigators have had a significant impact in shaping securities law in the nation’s preeminent courts, including the U.S. Supreme Court, the U.S. Court of Appeals for the Second Circuit, and state and federal courts in New York, Delaware, and California.

We have won victories for many of the world’s leading financial institutions that have led to the dismissal and/or settlement of major civil lawsuits brought against them. For example, we won affirmation of a decision approving the settlement of the more than 30 class actions brought by holders of Adelphia Communications Corporation’s equity and debt securities against more than two dozen commercial and investment banks represented by Cleary Gottlieb. We also recently won important victories for Bank of America, Barclays, Citigroup and the underwriters of Globalstar and Vonage, among others.

We are actively involved in government enforcement and regulatory reform relating to corporate financial reporting and investment research analyst practices, as well as insider trading and broker-dealer practices in the over-the-counter market. A significant part of our securities litigation practice involves representing clients in Securities and Exchange Commission, Justice Department, state attorney general and stock exchange investigations.

As a result of the financial crisis, we are currently representing in class and individual actions more than 70 U.S. financial institutions alleged to have collectively underwritten billions of dollars of securities issued by Lehman Brothers. We are also representing the underwriters of securities issued by RBS, HealthSouth and C-BASS, and, as issuers, ING, IMAX, Countrywide, Citigroup, sanofi-aventis, Pall Corporation and LG Display in securities litigation. Furthermore, the firm is representing major houses in both civil litigations and regulatory investigations arising from the Bernard L. Madoff fraud and is counsel in a variety of complex disputes related to credit default swaps, CDOs, mortgage-backed securities and subprime matters.
