  • Counsel to the creditors steering committee in CEMEX’s $15 billion restructuring of indebtedness, the largest-ever private restructuring in Latin America. The deal was named LatinFinance’s “Restructuring Transaction of the Year” and distinguished by the Financial Times' U.S. Innovative Lawyers Survey for innovation in the financial services category. Also counsel in $1.25 billion and €350 million high yield notes offerings by CEMEX Finance, a U.S. subsidiary of CEMEX, S.A.B de C.V.

  • Counsel to Warburg Pincus and Vestar Capital Partners in their acquisition of a controlling interest in Triton Container International Limited from Triton Investments Limited, a Pritzker Family business interest. 

  • Counsel to CORFO in the $983.8 million sale of shares in Chile’s largest water and sewage company. 

  • Counsel to Lafarge in its $15 billion acquisition of the cement business of Orascom Construction Industries S.A.E., the largest-ever corporate transaction in the Middle East and North Africa. Also counsel to Lafarge in its proposed 50:50 joint venture with Anglo American PLC, in its €1.5 billion rights offering and in a €1 billion banking facility as part of a €4.5 billion package of measures to strengthen its financial structure.

  • Counsel in HeidelbergCement’s €2.3 billion capital increase and €2.1 billion placement of shares from the holdings of existing shareholders.

  • Counsel to Highstar Capital and its portfolio company Ports America Chesapeake in its more than $1 billion investment in the Seagirt Marine Terminal at the Port of Baltimore. This deal was named "North American Logistics Deal of the Year" by ProjectFinance. Also counsel to Ports America and Highstar Capital in the negotiation of an amendment to Ports America’s $600 million senior secured credit facilities to permit, among other things, financial covenant relief and the entry into the concession agreement, and related financing arrangements, to operate and develop the Seagirt Marine Terminal.

  • Counsel to Ports America and its shareholder, Highstar Capital, in the establishment of a joint venture and related financing arrangements in connection with Ports America’s successful bid for a 50-year concession to operate and develop the outer harbor terminal at the Port of Oakland, one of the largest ports in the United States.

  • Counsel to Dangote Group in its $300 million investment in a quarrying and cement facility project in the Republic of Gabon, including negotiations with the government. Also counsel to Dangote Group in the negotiation with the government of the Republic of Congo of a major quarrying and cement facility project.

  • Counsel to the Government Bank Development for Puerto Rico in connection with the development of legislation authorizing the use of public-private partnerships for infrastructure and other projects and services that are currently provided by public sector entities.

  • Counsel to Autostrade per l’Italia S.p.A., a leading European Concessionaire for toll motorway construction and management, before the Civil Court of Rome in both interim appeal proceedings and proceedings on the merits brought by Craft S.r.l. in order to prevent Autostrade from further using, producing, and marketing a new device for car speed control. The Civil Court of Rome rejected all of Craft’s requests.

  • Counsel to Infrabel in connection with a public-private partnership for the design, construction and operation of railway infrastructure to improve access to the Brussels airport (the Diabolo project), including senior financing to a special purpose vehicle established by Infrabel.

  • Counsel to STRABAG SE, one of the leading providers of construction services in Europe, in its €1.3 billion IPO involving a listing on the official market of the Vienna Stock Exchange – the largest-ever IPO of an Austrian company.

  • Counsel to OAO Gazprom in the Blue Stream project to construct and operate a 760 km gas pipeline from Russia to Turkey under the Black Sea, including a $2.6 billion financing involving four separate bank facilities.
